1. General provisions

1.1. This public offer (the Offer) is an official proposal by sole proprietor Колупаев Константин Вячеславович (the Contractor) to enter into a paid services agreement (the Agreement) with any person expressing an intention to use the Contractor's services on the terms set out below.

1.2. Under Article 437 of the Civil Code of the Russian Federation, this document constitutes a public offer, acceptance of which is equivalent to entering into the Agreement.

1.3. The Offer is accepted by selecting a service and paying for it using any available method. The Agreement is deemed concluded and enters into force upon payment.

2. Subject of the Agreement

2.1. The Contractor undertakes to provide the Client with information technology services, including but not limited to:

• developing and maintaining websites, web applications, landing pages, and digital products;

• providing consulting, design, marketing, and other related services;

• and the Client undertakes to accept the services provided and pay for them under the terms of the Agreement.

2.2. The specific list and scope of services shall be determined from the information on the Contractor's website or agreed individually with the Client (in correspondence, a commercial proposal, a specification, etc.).

2.3. Services are provided remotely through electronic communication between the parties.

2.4. Any individual or legal entity with legal capacity, or any sole proprietor, may become a Client under this Offer.

3. Service fees and payment procedure

3.1. Service fees are listed on the Contractor's website or agreed individually with the Client before work begins.

3.2. Services may be paid for using any available method, including bank cards, online payment systems, transfers, or other methods permitted by applicable law.

3.3. Payment is deemed made when funds are credited to the Contractor's bank account or electronic wallet.

3.4. For non-cash payments, a document issued by the payment system or bank serves as proof of payment.

4. Rights and obligations of the parties

4.1. The Contractor undertakes to:

• provide services within the timeframe and scope agreed with the Client;

• keep the Client informed of work progress;

• maintain the confidentiality of information received;

• deliver service results in an appropriate form that complies with the specification and the terms of the Agreement.

4.2. The Contractor has the right to:

• engage third parties (contractors, specialists, designers, etc.) to perform the Agreement;

• change service fees, notifying the Client before payment;

• suspend services if the Client breaches payment terms or deadlines for providing necessary data.

4.3. The Client undertakes to:

• provide all information, materials, and access needed to perform the services;

• make payment on time;

• not disclose the terms of cooperation or materials received without the Contractor's consent;

• not transfer the results of the services to third parties without the Contractor's written permission.

5. Intellectual property

5.1. Exclusive rights to intellectual property created in the course of the Agreement belong to the Contractor until payment is made in full.

5.2. Upon full payment, rights to the final product (website, design, code, etc.) pass to the Client to the extent necessary for its intended use, unless otherwise agreed by the parties.

5.3. The Client may not modify, distribute, or use the results of the services for commercial purposes without the Contractor's consent if such actions exceed the scope of the transferred rights.

6. Refunds and termination of the Agreement

6.1. The Client may cancel services before they begin by sending written notice to the Contractor. In this case, a refund will be issued less any expenses actually incurred.

6.2. Once services have begun, a refund is possible only if the Contractor is unable to provide them through its own fault.

6.3. Services provided in full and accepted by the Client are non-refundable.

6.4. The Contractor may unilaterally terminate the Agreement if the Client breaches payment obligations or deadlines for providing information, or for other reasons that prevent the work from being performed.

7. Liability of the parties

7.1. The parties are liable for breaches of this Offer in accordance with the laws of the Russian Federation.

7.2. The Contractor is not liable for losses resulting from the Client's improper use of the services, software solutions, or content provided.

7.3. The Contractor does not guarantee uninterrupted operation of third-party services (hosting, domains, payment systems, etc.) and is not liable for their failures.

7.4. The Contractor's total liability may not exceed the amount paid by the Client for the services.

8. Confidentiality and personal data processing

8.1. All information received from the Client is confidential and may not be disclosed without the Client's written consent, except as required by law.

8.2. The Client's personal data is processed in accordance with the Contractor's Privacy Policy published on the website.

9. Force majeure

9.1. The parties are released from liability for partial or complete failure to perform their obligations under this Agreement if such failure results from circumstances beyond their control (force majeure): fire, flood, earthquake, hostilities, communications network failure, actions by authorities, or other emergencies.

9.2. If such circumstances arise, the deadlines for performing obligations shall be extended by the duration of those circumstances.

10. Final provisions

10.1. This Offer enters into force upon publication on the Website and remains valid until withdrawn by the Contractor.

10.2. All disputes and disagreements between the parties shall be resolved through negotiation or, if this is not possible, through the courts at the Contractor's place of registration.

10.3. All matters not covered by this Offer shall be governed by the current laws of the Russian Federation.
